Not For Profit & Charities

With the increasing number of legal and regulatory requirements, the Not For Profit & Charities sector can be difficult to navigate for those running an organisation within it. Trustees and committee members have specific obligations under the Charitable Trusts Act. This includes making sure their organisation is compliant and follows the rules – this can feel like a big responsibility.

Our Not For Profit & Charities Team understand the important role Not For Profit organisations play in the social fabric of the New Zealand community. We have considerable experience advising organisations of all sizes across different sectors and providing clear, practical legal advice to help these groups get the best possible outcome.

Our team are able to assist with a variety of matters, including:

  • Drafting charitable trust deeds and society rules.

  • Formation, structure and compliance.

  • Assisting with incorporation and charitable registration.

  • Resolving disputes and litigation including blessing orders from the Court and obligations under the Charitable Trusts Act.

  • Employment contracts, policies, processes and dispute resolution.

Notable experience:

  • Assisting the Canterbury Cricket Trust with the development of Hagley Oval into a world class international cricket venue. This included assisting with gaining consents and raising $20m for development.

  • Acting for some of New Zealand’s largest sporting organisations.

  • Advising on the formation and structure of various charitable and Not For Profit organisations. For example the Rainbow Children’s Trust, formed in 1996 to commence funding for a designated children’s health facility. This enabled a donation of $1.2m to Maia Health as a founding sponsor for children’s facilities at Christchurch Hospital. 

  • Assisting with the updating of the Rules for various organisations. For example the Akaroa Yacht Club and Banks Peninsula Art Gallery.

  • Charitable health and disabilities private care facility – involving restructuring separate New Zealand charitable entities to hold assets and operate health care facilities and register as Charitable Trusts.

  • Involvement in setting up the Akaroa Health Hub with the CDHB (replacing Akaroa Hospital). This involved the formation and creation of a charitable company and charitable community trust to enable appropriate funding and a modern, effective model for upgrading the facility.
